Welcome to CatalogMetrix. These Terms of Service ("Terms") govern your access to and use of the CatalogMetrix website at catalogmetrix.com and the CatalogMetrix application (collectively, the "Service") provided by CatalogMetrix Inc. ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In that case, "you" and "your" refer to that organization.

2. Account Terms

  • You must be at least 18 years old to use the Service.
  • You must provide accurate, complete, and current information when creating your account.
  • You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
  • You must notify us immediately at security@catalogmetrix.com if you become aware of any unauthorized use of your account.
  • You may not use the Service for any illegal or unauthorized purpose.
  • One person or legal entity may not maintain more than one free account.

3. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Interfere with or disrupt the integrity or performance of the Service
  • Scrape, crawl, or use automated means to access the Service without our express permission
  • Resell, sublicense, or redistribute the Service without authorization
  • Use the Service to generate content that is illegal, harmful, deceptive, or infringes on intellectual property rights
  • Circumvent any usage limits, rate limits, or security measures

We reserve the right to suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms.

4. Intellectual Property

Our Property

The Service, including its original content, features, functionality, design, and underlying technology, is owned by CatalogMetrix Inc. and is protected by international copyright, trademark, patent, and trade secret laws. Our trademarks and trade dress may not be used without our prior written consent.

Your Content

You retain all rights to the product data, catalog content, images, and other materials you upload or create using the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process, store, and display Your Content solely for the purpose of providing the Service to you.

You represent and warrant that you own or have the necessary rights to all content you upload and that your content does not infringe any third-party rights.

5. Payment Terms

  • The Service is offered under subscription plans with pricing as listed on our Pricing page.
  • All fees are quoted in US Dollars and are exclusive of applicable taxes.
  • Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen billing cycle.
  • Payment is due upon the start of each billing cycle. Failure to pay may result in suspension or termination of your account.
  • You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the end of the current billing cycle.
  • Refunds are available within the first 30 days of your paid subscription. After 30 days, prorated refunds are available for the remaining time on your billing cycle.
  • We reserve the right to modify pricing with 30 days advance notice. Price changes do not apply to your current billing cycle.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CATALOGMETRIX INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service, including AI-generated content
  • Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

7. Termination

You may terminate your account at any time by contacting us or using the account settings in the Service. Upon termination:

  • Your right to access the Service will cease immediately
  • We will delete your account data within 30 days, except as required by law
  • You are responsible for exporting any data you wish to retain before termination
  • Any outstanding fees remain payable

We may terminate or suspend your account at any time, with or without cause, with or without notice. If we terminate your account without cause, we will provide a prorated refund for any prepaid fees.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

9. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice before the new terms take effect by posting the updated Terms on this page and sending an email notification to your registered email address.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service.
